Affiliate Terms

1. Definitions

In these Affiliate Terms & Conditions, the following terms have the meanings set out below:

2. The Programme

ZDRAVEX LTD operates an affiliate programme that allows approved partners to earn commission by referring customers to zdravexx.com. Participation is subject to these Terms and any additional conditions agreed in writing between you and ZDRAVEX LTD.

The Programme is operated on an invitation or application basis. We reserve the right to accept or decline any application at our sole discretion without obligation to provide reasons.

These Terms govern the entire relationship between you and ZDRAVEX LTD in connection with the Programme. In the event of any conflict between these Terms and our general Terms & Conditions, these Affiliate Terms shall take precedence in relation to the affiliate relationship.

3. Application & Approval

3.1 How to apply

To join the Programme, you must submit an application via our Affiliate Program page or by emailing us at business@zdravexx.com. Applications must include your contact details, website or social profile links, a description of your audience, and your intended promotional method.

3.2 Eligibility

To be eligible for the Programme, you must:

• Be at least 18 years of age
• Have an active and publicly accessible platform (website, social media account, newsletter, or other channel)
• Be able to promote Zdravexx in a legal, honest, and compliant manner
• Not be located in or primarily serving audiences in a country or territory from which we do not accept orders (see our Shipping Policy)
• Not be an employee, director, or immediate family member of an employee or director of ZDRAVEX LTD

3.3 Approval

Submitting an application does not guarantee acceptance. We will review your application and notify you of our decision within 2–3 business days. If approved, we will confirm the collaboration format, your unique Affiliate Link, and your agreed commission rate in writing. The Agreement becomes binding when we send written confirmation of your approval.

4. Affiliate Obligations

As an approved Affiliate, you agree to:

• Promote Zdravexx honestly, accurately, and in compliance with all applicable laws and regulations
• Use only your assigned Affiliate Link when directing traffic to the Website
• Clearly disclose your affiliate relationship in all promotional content where required by law or advertising standards (e.g. ASA CAP Code in the UK, FTC guidelines where applicable) — for example by including a clear label such as "Ad", "Affiliate link", or "Sponsored"
• Use only Brand Assets provided or approved by us
• Comply with all applicable data protection and privacy laws, including UK GDPR and PECR, when collecting or using any personal data in connection with your promotions
• Notify us promptly of any changes to your platform, audience, or promotional methods that may materially affect your participation in the Programme
• Respond to reasonable enquiries from us within a timely manner

5. Prohibited Conduct

The following activities are strictly prohibited and may result in immediate termination of your participation in the Programme and forfeiture of any unpaid commission:

5.1 Deceptive or misleading promotion

• Making false, exaggerated, or misleading claims about Zdravexx products, pricing, or offers
• Using fake discount codes, fabricated promotions, or unauthorised "sale" announcements
• Presenting yourself as an official representative, employee, or spokesperson of ZDRAVEX LTD
• Using our brand name or logo in a way that implies official endorsement beyond what is permitted

5.2 Spam and unsolicited communications

• Sending unsolicited emails, messages, or communications containing your Affiliate Link
• Using automated mass-messaging tools, bots, or software to distribute affiliate promotions
• Posting affiliate content in irrelevant forums, comment sections, or communities without permission

5.3 Paid search and advertising

• Bidding on our brand name ("Zdravexx", "zdravexx.com", or variations) in paid search advertising without our prior written consent
• Running paid advertisements that use our trademark in the ad copy, display URL, or headline without written approval

5.4 Fraudulent activity

• Self-referrals — placing orders through your own Affiliate Link to generate commission
• Encouraging others to place orders they intend to return in order to generate commission
• Manipulating tracking links, cookies, or referral data in any way
• Any other attempt to artificially inflate clicks, traffic, or commission figures

5.5 Harmful or inappropriate placement

• Placing affiliate content on websites or platforms that contain illegal, hateful, discriminatory, violent, adult, or otherwise harmful content
• Targeting advertising at minors under 18

6. Commission & Payments

6.1 Commission rates

Commission rates are agreed individually in writing at the time of your approval to the Programme. Your confirmed commission rate will be set out in your approval confirmation. We reserve the right to offer different commission rates to different affiliates based on channel, audience, and performance.

6.2 Qualifying Sales

Commission is earned only on Qualifying Sales — completed, paid orders that:

• Were placed by a customer who clicked your unique Affiliate Link within the agreed attribution window
• Were not subsequently cancelled, refunded, or charged back
• Were not placed by you or anyone acting on your behalf (no self-referrals)
• Were tracked and recorded correctly by our tracking system

6.3 Commission deductions

If a customer returns an item or requests a refund for an order on which commission was paid or is pending, the corresponding commission will be deducted from your balance or withheld accordingly.

6.4 Payment terms

Payment schedules, minimum payout thresholds, and payment methods are confirmed individually in your approval communication. We will not process commission payments below the agreed minimum threshold. It is your responsibility to provide accurate payment details and to notify us of any changes.

6.5 Taxes

You are solely responsible for declaring and paying any income tax, VAT, or other taxes applicable to commission received under this Agreement in your jurisdiction. We will provide records of payments made upon request. Nothing in this Agreement constitutes an employment, partnership, or agency relationship between you and ZDRAVEX LTD.

7. Tracking & Reporting

We use tracking technology to attribute sales to your Affiliate Link. Tracking is subject to technical limitations, including but not limited to:

• Customers who block cookies or use private/incognito browsing
• Customers who clear their browser cookies between clicking your link and completing a purchase
• Ad blockers or browser extensions that interfere with tracking scripts

We cannot guarantee that all referrals will be tracked successfully. Commission is only paid on sales that are recorded by our tracking system. We will make reasonable efforts to resolve tracking disputes raised in good faith, but our records shall be the primary reference for commission calculations.

If you believe a sale has not been tracked correctly, contact us at business@zdravexx.com within 30 days of the transaction date with supporting evidence.

8. Brand Assets & Intellectual Property

8.1 Licence to use Brand Assets

Upon approval to the Programme, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Brand Assets we provide solely for the purpose of promoting Zdravexx through your approved channels in accordance with these Terms. This licence does not include the right to sublicense, modify, or adapt our Brand Assets without prior written approval.

8.2 Restrictions

You must not:

• Alter, crop, distort, or modify our logos, brand name, or other Brand Assets without written permission
• Use our brand name or trademarks in a way that could cause confusion or imply official endorsement beyond your role as an affiliate
• Register any domain name, social media handle, or business name that includes "Zdravexx", "zdravexx.com", or any similar variation
• Use our Brand Assets after termination of this Agreement

8.3 Our intellectual property

All intellectual property rights in the Website, Brand Assets, and content remain the exclusive property of ZDRAVEX LTD. Nothing in this Agreement transfers any intellectual property rights to you.

9. Confidentiality

You agree to keep confidential any non-public information shared with you by ZDRAVEX LTD in connection with the Programme, including but not limited to commission rates, tracking data, product launch information, and business terms. You must not disclose such information to any third party without our prior written consent.

This obligation of confidentiality survives the termination of this Agreement.

10. Data Protection & Privacy

Each party is responsible for complying with applicable data protection laws in connection with their own activities under this Agreement.

If you collect personal data from your audience in connection with your affiliate promotions (for example, through opt-in forms or email lists), you are solely responsible for ensuring that collection and use of such data complies with UK GDPR, PECR, and any other applicable privacy laws. You must not share any personal data about your audience with ZDRAVEX LTD without a lawful basis for doing so.

11. Representations & Warranties

By participating in the Programme, you represent and warrant that:

• You have the legal capacity and authority to enter into this Agreement
• You are at least 18 years of age
• All information provided in your application is accurate and complete
• Your participation in the Programme and your promotional activities do not and will not violate any applicable law, regulation, or the rights of any third party
• You own or have the right to use all content you publish in connection with your affiliate promotions
• You will comply with all applicable advertising disclosure requirements

12. Limitation of Liability

To the fullest extent permitted by applicable law, ZDRAVEX LTD shall not be liable to you for any indirect, incidental, special, consequential, or punitive loss arising in connection with the Programme or this Agreement, including but not limited to loss of commission, loss of profits, or loss of opportunity.

Nothing in this Agreement limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

You agree to indemnify and hold harmless ZDRAVEX LTD, its directors, employees, and agents against any claims, losses, damages, or costs arising from your breach of this Agreement, your promotional activities, or your violation of any applicable law.

13. Term, Suspension & Termination

13.1 Term

This Agreement begins on the date we send written confirmation of your approval to the Programme and continues until terminated by either party in accordance with this section.

13.2 Termination by you

You may terminate your participation in the Programme at any time by providing written notice to business@zdravexx.com. Upon termination, you must immediately cease using your Affiliate Link and all Brand Assets.

13.3 Termination or suspension by us

We may suspend or terminate your participation in the Programme at any time, with or without notice, if:

• You breach any provision of this Agreement
• We suspect fraudulent, deceptive, or harmful activity
• Your platform no longer meets our eligibility requirements
• We decide to discontinue or materially change the Programme
• You become insolvent or enter into an insolvency process

13.4 Effect of termination

Upon termination:

• Your Affiliate Link will be deactivated
• You must immediately remove all Zdravexx promotional content and Brand Assets from your platforms
• Any earned and unpaid commission for Qualifying Sales completed before the termination date will be paid on the next scheduled payment date, subject to verification and any deductions for returns or fraud
• Commission on sales tracked after the termination date will not be payable

14. Changes to These Terms

We may update these Affiliate Terms from time to time. When we make material changes, we will notify you by email using the address associated with your affiliate account and update the "Last updated" date on this page. Changes will take effect 14 days after notification unless you notify us in writing that you do not accept the changes, in which case your participation in the Programme will be treated as terminated.

Your continued participation in the Programme after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Governing Law & Jurisdiction

This Agreement and any dispute or claim arising from or in connection with it (including non-contractual disputes) shall be governed by and construed in accordance with the law of England and Wales.

Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute arising out of or in connection with this Agreement.
